Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of PodTools, podtools.app, and any related services, software, tools, content, and features made available by NBS Media LLC ("NBS Media LLC," "we," "us," or "our") (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You may use the Services only if you can form a binding contract with us and your use of the Services is not prohibited by applicable law. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You may be required to create an account or provide certain information to access some features. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to misuse the Services, interfere with their operation, attempt unauthorized access, reverse engineer protected portions of the Services except where prohibited by law from restricting that activity, upload malicious code, infringe intellectual property rights, or use the Services to violate any law or third-party rights.

You may submit information, data, text, files, podcast feeds, metadata, and other materials through the Services (collectively, "User Content"). You retain ownership of your User Content, but you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, modify, and display User Content as necessary to operate, improve, and provide the Services.

You represent and warrant that you have all rights necessary to submit User Content and that your User Content does not violate any law or third-party rights.

The Services, including their software, design, branding, text, graphics, interfaces, and other content provided by us, are owned by or licensed to NBS Media LLC and are protected by intellectual property and other applicable laws.

Except for the limited right to use the Services under these Terms, no rights, title, or interest in the Services are transferred to you.

Some features may require payment now or in the future. If you purchase paid features, you agree to pay all applicable fees, taxes, and charges associated with your use of those features.

Unless otherwise stated, fees are non-refundable except where required by law or expressly provided by us.

The Services may rely on or integrate with third-party products, platforms, websites, or services. We are not responsible for third-party services, and your use of them may be subject to separate terms and policies.

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, created risk for us or others, or if we discontinue the Services. You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, and dispute-related provisions.

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, NBS Media LLC disclaims all warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Services will be uninterrupted, secure, error-free, or that any output, recommendation, audit, or analysis will be complete, accurate, or suitable for your specific needs.

To the fullest extent permitted by law, NBS Media LLC and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of or inability to use the Services.

To the fullest extent permitted by law, the total liability of NBS Media LLC for any claim arising out of or relating to the Services or these Terms will not exceed the greater of one hundred U.S. dollars (US$100) or the amount you paid us for the Services in the twelve months before the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless NBS Media LLC and its affiliates, personnel, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of New Mexico, without regard to conflict of laws principles. Subject to applicable law, any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New Mexico, and you consent to the jurisdiction of those courts.

We may modify these Terms from time to time. If we do, we will post the updated Terms on this page and update the "Last updated" date above. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.
